SPY, the SPDR S&P 500 ETF Trust, is the most heavily traded equity security in the world, and by assets only the third-largest fund tracking the S&P 500. It was the first US-listed exchange traded fund, launched January 1993; Vanguard’s arrived seventeen years later and now holds roughly a quarter more. The gap opened not from marketing but from a legal form chosen before anyone knew what an ETF would become.

SPY is where institutional US equity risk moves when it has to move quickly. Whether it is the best instrument to trade for an afternoon is a different question from whether it is the best to hold for a decade, and the trust structure answers those two in opposite directions.
A unit investment trust is a passive container: a trustee, no investment adviser, a governing document difficult to amend. SPY’s January 2026 prospectus states the consequences without euphemism.
On lending, the trustee may not engage in any securities lending or repurchase transactions on behalf of the trust. Newer structures lend stock and return part of the fee to holders. SPY cannot. That is revenue it never collects.
On dividends, cash received on portfolio securities is credited to a non-interest-bearing account and held until distributed, with payment on the last business day of the month following each ex-dividend date. That cash sits idle, and no reinvestment service is provided. The trust may not borrow or use derivatives.
Over the ten years to 30 June 2026 SPY’s annualised NAV return was 15.35% against 15.51% for the S&P 500 Index, a shortfall of roughly sixteen basis points a year against a stated expense ratio of 9.45 basis points. The extra gap is what the structure costs.
Competitors run at 0.03% and the capital voted accordingly. What structure cannot transfer is SPY’s incumbent order book, the options chain built around it, and in-kind creation and redemption through authorised participants. That channel pins the price to net asset value, and a referencing derivative inherits it.
US macro releases. CPI, payrolls and FOMC decisions reprice the entire index in seconds.
Earnings concentration. The ten largest holdings were roughly 36% of the fund at end-June 2026, Information Technology alone 38.03% of the index.
Quarterly ex-dividend mechanics. On the ex-date the price falls by roughly the distribution. For a shareholder that is a return of capital; a contract holder takes the decline without the cash.
SPY sits at the low-volatility end of liquid equity instruments, slow to gap during US hours because the arbitrage channel is well capitalised. Premium and discount to net asset value widen when the basket is hard to price, historically in the opening minutes of a shock.
What transfers is the creation and redemption mechanism. A spot Bitcoin ETF works the same way: authorised participants arbitrage the fund against the underlying, and the width of that gap reads out how expensive it is to move the asset. A crypto fund at a persistent premium is that channel failing. SPY and major crypto assets do not track each other reliably, so the relationship is context, not a hedge.
XT lists SPYUSDT, a USDT-margined perpetual futures contract. A position in it is not ownership of the trust, and not ownership of the five hundred companies in the index: no vote, no unit, no claim on the quarterly distribution the fund makes. It is a leveraged derivative: exposure amplified in both directions, funding paid or received continuously, and an outcome depending on the path the reference price takes, not where it ends. The underlying trades about six and a half hours on weekdays and the contract does not, so overnight and weekend gap risk is structural.
SPY’s 1993 trust deed made it uncopyable and then made it uncompetitive. That rigidity now costs holders a few basis points a year and cost State Street the asset crown. It never damaged the liquidity, which is why institutions still reach for SPY when speed matters more than cost.
